Humboldt Bay Horse Club
By-Laws
The mission of the Humboldt Bay Horse Club is to promote horsemanship for all riders and all breeds of horses by sponsoring open horse shows, clinics, play days, trail rides, etc.
Article I.
Membership
Section 1. The membership of this Club shall consist of individual members 18 and older (1 vote), youth membership 12-18 (1 vote), family memberships includes immediate family- 1-2 adults and children under 18 (1 vote, must designate who is to cast vote) and business members (1 vote, must designate who is to cast vote) who have been admitted to the membership and by paying their dues.
Section 2. If any member fails to pay his or her dues within 60 days after they are due on or before the February meeting, said member cannot vote or serve in office until his or her dues are paid. All memberships expire December 31.
Article II. Rights, Privileges, and Dues
Section 1. This Club was chartered under the name of Humboldt Bay Quarter Horse Association and its members shall be privileged to exercise such rights as are therein conferred, and such additional special privileges as are granted by these by-laws. The Club name was changed in 2007 to Humboldt Bay Horse Club.
Section 2. The membership shall be comprised of individual members 18 and older (1 vote), youth members 12-18 (1 vote), family memberships (1 vote, must designate who is to cast vote) and business members (1 vote, must designate who is to cast vote) The minimum prerequisite for voting for officers for the succeeding year is any regular member of good standing that is 12 years or older and has attended at least 3 club meetings during current year. The secretary shall keep attendance records for all members by passing a sign-in sheet at each meeting
Section 3. The dues shall be $15 for individual members 18 and older, $10 youth members 12-18, $25 family memberships and $30 business members. The membership may at any regular or special meeting change annual dues by a majority vote of the club. In order for points to count for awards programs, the exhibitor must be a current member.
Section 4. A copy of the by-laws shall be provided to any member upon request.
Article III.
Officers
Section 1. The officers of the club shall be a President, Vice President, Secretary, and Treasurer. They shall be elected by the club from the membership, by a majority vote of the members present and shall not be absent for any 3 consecutive meetings or a new officer will be elected.
Section 2. PRESIDENT: It shall be the duty of the President to preside at all meetings of the club; to have general supervision of all the affairs and business of the club; and to execute along with other elected officers, all written contracts, agreements, or conveyances on behalf of the club. The President shall be an ex-officio member of all committees.
Section 3. VICE PRESIDENT: The Vice President, in the absence of the President, shall perform the duties of the President. The Vice President will be in charge of insurance.
Section 4. SECRETARY: The Secretary shall keep full and accurate minutes of all meetings of the club in books provided for that purpose at each meeting; keep a true and accurate account of all membership. To provide a current list of the membership upon request; to notify the club of all complaints, issue statements to members and perform such other duties as may be prescribed by the club.
Section 5. TREASURER: The Treasurer will pay all bills upon approval of the general membership; preserve and keep all records of financial correspondence of the club; keep an accurate account of financial affairs of the club, and perform such other duties as may be prescribed by the club. The books of the club will be checked twice a year by a member of the club who is not an officer and has book keeping experience.
Article IV. Club Year and Meetings
Section 1. The club year shall be the first day of January and include December 31 of the same year.
Section 2. The regular meeting date for the club shall be the last Monday of the month.
Section 3. Special meetings may be called by the President or upon written application by five regular members. Notice shall be postmarked 14 days in advance.
Section 4. 25% of the members as of the February meeting shall constitute a quorum at any meeting, provided two officers are included in that majority.
Section 5. Officers can be removed from office by a 2/3 vote of the members present.
Section 6. Officers shall be nominated at the October meeting and voted on at the November meeting following written and/or email notification to the membership of the nominees. If only one person is nominated to an office, the nominations for that office may be re-opened prior to voting at the November meeting. If no quorum exists the existing officers will remain until a quorum is present at the next meeting.
Section 7. Any changes to the Horse Show High Point program shall be proposed by a member in good standing at the January meeting. All proposed changes will be mailed and/or emailed out the week following the January meeting to all members. Changes will be voted on at the February meeting and information packets will be available in March.
Section 8. RULES OF ORDER: “Robert’s Rules of Order” shall be the parliamentary authority for all matters of procedure not specifically covered by these By-Laws.
Article V. Amendments of By-Laws
Section 1. AMENDMENTS: Any proposed amendments to these By-Laws submitted to the club must be in writing and signed by five (5) members in good standing. The proposed amendment will be presented and discussed at one meeting, the proposed change to the By-Laws will then be mailed and/or emailed to the general membership and voting will take place at the next regularly scheduled meeting. If two-thirds majority of the members present, must be a quorum, is obtained it shall become law.
